The following provides an outline of business best practice to help Clients get the best working relationship from Big Red Innovations Limited. (Also called “BRIL”)

Engaging Big Red Innovations Limited in any work is taken as acceptance of your agreement of the terms and conditions as set out below.

Database Business

1. Database brief

a) Brief to be submitted prior to quote being provided.

b) If the Client is not in a position to provide a brief and requires assistance – consultancy can be provided at our standard daily rate until a brief has been formulated in writing and signed off. This section of the development process will be charged for as ‘Phase 1’ prior to any development/programming work being undertaken.

c) No ‘refund’ against programming will be provided if the project develops from consultancy into programming, consultancy is an independently chargeable part of the project.

2. Database programming

a) Programming will commence on a project when a full brief has been agreed between the Client and Big Red Innovations Limited.

b) A written approval of engagement must be provided by the Client which will include rough delivery schedules and final cost agreed.

c) Any deviation from the original brief will be noted and charged for accordingly at the appropriate stage of the project.

3. Database Support and Training

a) Big Red Innovations Limited can install the relevant software if required to do so, but are happy to sign this responsibility over to the Clients designated IT member of staff. This will be confirmed at the time of Quote approval.

b) Big Red Innovations Limited are not responsible for any support on database problems which have occurred due to Clients amends on Fields, Structure and Scripts within any file after delivery.

c) Any support given on Client amended databases will be at the discretion of Big Red Innovations Limited and, if provided, will be charged at the standard daily support rate.

d) All other support and training terms will be agreed at quote stage and signed off accordingly.

4. Backing up the Database

a) Big Red Innovations Limited are not responsible for the loss of any data due to network or computer related problems which cause database corruption.

b) The Client is responsible for backing up their database on a regular basis and should a restore of the database be needed, this must be done by the Client from the most recent back-up.

c) Where BRIL is tasked by the Client with the provision or the set-up up of any form of Backup software, it is the sole responsibility of the the Client to ensure that the backups are working correctly and to their satisfaction.

5. Consultancy and Other Business

1. Where a brief is not available, consultancy at the standard daily rates will be charged until a brief is agreed upon.

2. Quotations will only be offered on presentation of, or agreement to, a brief.

3. All work is subject to the Payment Terms and Third Party Terms as set out below.

6. Payment terms

1. No work will be undertaken by BRIL without one of the following:

a) Signed purchase order to the value of the quote/daily rate for the job

b) Written approval of quote

c) Approved rolling account

2. All accounts to be settled within 14 days of invoice date.

3. Where a Client has a history of late payments, all outstanding invoices must be paid in full before the commencement of any other projects. A debit account may then be set up to allow the Client to pay in advance for any further services; upon receipt of a confirmed quote; and prior to commencement of those services.

7. Third-Party Terms

1. Employment of Third Parties by BRIL will be on the following basis:

a) In most cases any Third Party cost will be included in BRIL’s original quote. Where BRIL are repaying the Third Party in question BRIL will take full responsibility for any work undertaken by the Third Party

b) Any Third Parties not included in BRIL quotes will be responsible directly to the Client for their work and will invoice the Client separately. Big Red Innovations Limited take no responsibility for work provided by any Third Party invoicing the Client directly. It is the Clients responsibility to ensure that they are happy with all work undertaken by a Third Party prior to paying the Third Party.

2. Any dispute with a Third Party referred by BRIL will not effect any payment terms agreed with BRIL.

8. Copyright

In general, international copyright laws vest the copyright ownership of custom computer software in the developer of that software. Therefore unless otherwise specified and mutually agreed, Big Red Innovations Limited retains all rights to software which we develop. This includes the rights to reuse, resell, or otherwise modify or distribute the code in your solution in whole or in part.

In practice, we design the bulk of any given solution specifically to meet the requirements of a given client and we rarely use prefabricated code or templates. Your system will be an original work. As a matter of course, your contract with us provides you with a non-exclusive, non-transferable ongoing license to use the completed work and all its components' associated deliverables. Although you will not be permitted to on-sell or sub-license the system/s we create for you, you will be permitted unlimited use of the system/s. You will, of course, retain ownership of any logos or other designs you provide to us, as well as any and all of your own data as loaded into your database system.

If in due course you decide that you would like to acquire the full rights to the system we have built for you (for example if you would like to redevelop it independently or on-sell it as a commercial solution), you will be required to first negotiate an agreement with us for transfer of ownership of the solution.

10. General

1. Big Red Innovations Limited reserve the right to defer or decline a Clients business prior to any written agreements being in place.

Qualification of a Client under these Terms and Conditions is not a guarantee of Big Red Innovations Limited’s agreement to undertake any project on behalf of a Client.

Support Options

NEW SYSTEMS

Standard support cost for new development systems Industry standard support charges of 18% of cost of new development, divided by 12 and payable monthly in advance. First payment due from live date of new development usage. Live date is defined as the first date that the newly developed software is used in a live system.

EXISTING SYSTEMS

Ad hoc daily rate charges

This support is on an as and when needed basis.
It provides for us to dial in and fix any problems that you encounter with your
FileMaker database and is confined to software only.
Terms are £450 per day, or part of a day, payable in advance.

Silver level support

This support level covers you for the term of the agreement.
Working hours are 9am to 5pm, Monday to Friday.
Guaranteed response within 4 working hours if you notify us by telephone and 8 working hours if you notify us by email.
It provides for us to dial in, or to attend on site.
It covers your Filemaker database and FileMaker software only.
Terms are 3 month minimum contract, at £150 per month, payable monthly in advance.

Gold level support

This support level covers you for the term of the agreement.
Working hours are 9am to 5pm, 7 days a week..
Guaranteed response within 3 working hours if you notify us by telephone and 6 working hours if you notify us by email.
It provides for us to dial in, or to attend on site.
It covers your Filemaker database and FileMaker software only.
Terms are 3 month minimum contract, at £250 per month, payable monthly in advance.

Platinum level support

This support level covers you for the term of the agreement.
Working hours are 9am to 5pm, 7 days a week.. Additional hours by negotiation.

Guaranteed response within 2 working hours if you notify us by telephone and 4 working hours if you notify us by email. It provides for us to dial in, or to attend on site. It covers your Filemaker database, FileMaker software, liaison with 3rd party software suppliers and any related network/communication problems. Terms are 6 month minimum contract, at £500 per month, payable monthly in advance.

Notes

1. If attending on site, travel charges will be based on a mileage rate of 45pence per mile and calculated using our office as the start and finish point.

2. We reserve the right to await for cleared funds before beginning any support work.

3. Any new software/coding required during the course of identifying and fixing a support will be charged for at our basic hourly rate, unless agreed in writing beforehand.

4. Customer must be in possession of any passwords required for us to gain access to the system.

5. Customers must provide a remote log-in capability for us to access the software requiring support or correction.

6. All security for remote connections is the sole responsibility of the customer.
